2. Website Use and Intellectual Property
By accessing our website (purpleboxuk.com) and associated client portal tools, you agree to comply with standard acceptable use standards:
- You may not use the website in any manner that impairs network security, introduces malicious code, or seeks unauthorized access to server infrastructure.
- All content, design architecture, graphics, proprietary software tools (including DocuSign connectors, phishing simulators, and job scheduling integrations), and brand assets are the exclusive intellectual property of Purple Box (UK) Ltd or our licensors.
- You are granted a limited, revocable, non-exclusive license to view website materials for evaluating and engaging our professional services.
3. Quotations, Proposals and Order Formation
When requesting pricing, equipment packages, or bespoke support agreements:
- Quote Validity: Written quotations are valid for thirty (30) calendar days from issuance unless explicitly stated otherwise.
- Hardware Price Volatility: Hardware and equipment pricing is subject to manufacturer market adjustments, currency exchange volatility, and distributor inventory availability prior to formal order placement.
- Contract Formation: A binding contract for services is formed when the Client signs our formal Proposal or Statement of Work, or confirms acceptance in writing via an authorized corporate representative.
4. Service Delivery and Support Standards
PurpleBox delivers security-first managed IT support and technology solutions under the following operational framework:
- Support Hours: Standard support operates between 08:30 and 17:30 Monday to Friday (UK time), excluding UK public bank holidays. Extended or out-of-hours coverage is provided where explicitly incorporated into your service tier.
- Triage & Response Targets: Critical business interruptions (such as full network outages or server failures) receive prioritized same-day triage. Non-urgent service requests are handled in accordance with the specific priority matrix outlined in your SLA.
- Remote First Model: Support is delivered primarily via secure remote administration to ensure rapid resolution. On-site engineering visits are dispatched where physical hardware faults, cabling, or local infrastructure issues cannot be resolved remotely.
5. Client Responsibilities and Cooperation
To ensure effective service delivery and security baseline adherence, the Client agrees to:
- Designate one or more authorized points of contact empowered to request account modifications, user onboarding, or leaver offboarding.
- Provide prompt, reasonable administrative and physical access to devices, tenants, and facilities necessary for service execution.
- Ensure all staff members adhere to standard password hygiene, MFA requirements, and acceptable usage policies.
- Notify PurpleBox immediately upon discovering any suspected security incident, credential leak, or unauthorized system access.
6. Hardware Procurement, Title and Risk
Where PurpleBox procures, pre-configures, and supplies hardware (including laptops, workstations, VoIP desk units, and networking equipment):
- Delivery & Staging: Devices are pre-configured, domain-joined, and encrypted before dispatch to ensure zero-touch deployment on delivery.
- Passing of Risk: Risk of damage or loss transfers to the Client immediately upon delivery to the specified client premises or employee address.
- Retention of Title: Full legal ownership and title to all hardware goods remains with Purple Box (UK) Ltd until the relevant invoice has been settled in full.
- Warranties: Hardware is provided with the full benefit of manufacturer warranties. PurpleBox acts as liaison to process warranty claims, repairs, or replacements on your behalf.
7. Telephony and Hosted VoIP Special Conditions
For clients utilising hosted voice communications and SIP services:
- Emergency Calls Notice: Hosted VoIP services depend on broadband internet connectivity and power. In the event of a power cut or internet outage, VoIP handsets cannot make calls, including calls to emergency services (999 or 112). Clients must maintain an alternative calling method (such as mobile phones) at their premises.
- Emergency Address Data: The Client must ensure accurate physical address data is provided for each VoIP endpoint for emergency services location databases.
- Number Portability: Telephone numbers are ported in accordance with UK telecommunications regulations. We act as your authorized agent to coordinate porting with existing network carriers.
8. Invoicing, Fees and Payment Terms
Clear commercial terms govern all billing:
- Recurring Support & Licences: Recurring managed support, Microsoft 365 seat licences, and cloud subscriptions are invoiced monthly in advance.
- Hardware & Projects: Capital equipment and fixed-scope projects are invoiced upon order confirmation or milestone completion as agreed in the proposal.
- VAT: All quoted prices are exclusive of Value Added Tax (VAT), which will be charged at the prevailing UK statutory rate.
- Payment Window: Invoices are payable within fourteen (14) calendar days of invoice date unless bespoke credit terms have been agreed in writing.
- Late Payments: We reserve the statutory right to charge interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 on overdue balances.
9. Confidentiality and Data Protection
Both parties agree to treat all commercial, financial, and technical information as strictly confidential. PurpleBox will not disclose client configuration data, network credentials, or operational trade secrets to any third party, except as strictly required to deliver contracted services. Personal data is handled in strict compliance with our Privacy Policy and UK GDPR obligations.
10. Limitation of Liability
Please read this section carefully, as it establishes the commercial allocation of risk between parties:
- Statutory Exclusions: Nothing in these Terms excludes or limits either party's liability for death or personal injury resulting from negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be legally limited under English law.
- Cap on Liability: Subject to statutory exclusions, our total aggregate liability arising out of or in connection with the contract (whether in contract, tort, negligence, breach of statutory duty, or otherwise) shall be limited to the total fees paid by the Client to PurpleBox during the twelve (12) months preceding the incident giving rise to liability.
- Indirect Losses: Neither party shall be liable for indirect, consequential, special, punitive, or incidental losses, including loss of profits, loss of anticipated revenue, business interruption, or loss of commercial reputation.
11. Term, Termination and Orderly Offboarding
We believe in retaining clients through quality service rather than predatory lock-in:
- Initial Term: Contracts specify an initial term (typically 12 or 24 months), continuing thereafter on rolling monthly or annual periods as agreed in your proposal.
- Termination Notice: Either party may terminate ongoing services by giving the required written notice (standard 30 or 90 days as defined in your contract).
- Termination for Cause: Either party may immediately terminate the contract if the other commits a material breach that is not remedied within thirty (30) days of written notice, or enters into insolvency or administration.
- Orderly Handover: Upon full settlement of all outstanding invoices, PurpleBox will provide a smooth transition, including administrative handover of your Microsoft 365 tenant, domain names, firewall configurations, and local administrator passwords.
12. Force Majeure
Neither party shall be liable for delays or failure in performance resulting from causes beyond reasonable control, including acts of God, widespread telecommunications backbone failures, national power grid failures, governmental acts, strikes, or widespread cyber warfare attacks against critical UK infrastructure.
13. Governing Law and Jurisdiction
These Terms, all commercial contracts, and any disputes or claims arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
14. Inquiries and Notices
All formal notices under these Terms should be delivered in writing to:
